1. Scope of Services

1.1 Automate review-request messages via email and SMS.

1.2 Provide a one-time onboarding and integration setup.

1.3 Post automated responses to 5-star Google reviews on your behalf.

1.4 Automatically repost Google reviews to Facebook and repurpose reviews as social content.

1.5 Give you dashboard/analytics access.

1.6 Offer support by email (business days, 9 a.m.–5 p.m. ET).

The Services are provided on a best-efforts basis with no guarantee of review volume, ranking improvement, or return on investment.

Affiliate Programs: We may from time to time offer referral or affiliate programs governed by separate written terms.

2. Plans, Fees & Billing

Free / Promotional Trial – 14-day trial (offered at our discretion). Cancel any time during the trial with no charge.

Setup Fee – Certain plans include a one-time onboarding fee, invoiced at signup.

Subscriptions – Monthly or annual fees are billed in advance and renew automatically until cancelled.

Pricing Changes – We may change fees with at least 30 days’ email notice; new fees apply at the next renewal.

Usage-Based Charges – Email, Postal Mail, and SMS usage beyond plan allotments are billed in arrears at posted rates.

Payment Method – You must maintain a valid payment card; billing is processed via Stripe.

Taxes – You are responsible for all applicable taxes, duties, or government fees.

2.1 SMS Terms (10DLC Compliance)By providing your mobile number and opting in on our website, you agree to receive SMS messages from RealRapidReviews.com. These may include review requests, onboarding information, service updates, and customer support messages.

Message frequency varies, typically 1–4 messages per month. Message and data rates may apply depending on your carrier. You can opt out at any time by replying STOP to any message. For assistance, reply HELP or contact us at [email protected].

3. Trial & Refund Policy

If you are not satisfied for any reason, you may request a full refund of fees within thirty (30) days of completing onboarding (this includes the 14-day trial). After 30 days, fees already paid are non-refundable, but you may cancel at any time to stop future charges.

4. Client Responsibilities

4.1 Provide lawful data – Upload only customer contact data for which you have valid consent under CAN-SPAM, TCPA, GDPR, and similar laws.

4.2 Acceptable-Use / Anti-Spam – You will not (i) send SMS/email without valid consent; (ii) use purchased or scraped lists; (iii) spoof sender IDs; or (iv) transmit pornographic, hateful, or deceptive content.

4.3 Grant required access – Maintain Google Business Profile, Facebook page, or similar credentials and API permissions.

4.4 Waive pre-approval – You waive the right to review or approve automated or AI-generated social posts and 5-star review responses before publishing.

4.5 Respond to negative reviews – You are solely responsible for replying to 1- to 3-star reviews.

4.6 Comply with laws & IP – Ensure any content, logos, or data you supply do not infringe third-party rights or violate laws.

4.7 Use dashboard lawfully – No scraping, reverse-engineering, or resale of the Services.

4.8 Cooperate during onboarding and promptly report service issues.

5. Data Processing Acknowledgment

You acknowledge that, with respect to any personal data of your customers that you upload or provide to us for the performance of the Services, you are the “Data Controller” and RealRapidReviews is the “Data Processor” under applicable data protection laws (e.g., GDPR, CCPA). You represent that you have provided appropriate privacy notices and obtained any necessary consents from your customers, and you authorize us to process their data solely for purposes of delivering the Services on your behalf.

6. Intellectual Property

All software, templates, and proprietary processes are and remain our exclusive property. We grant you a non-exclusive, non-transferable licence to use the Services for your internal business purposes during an active subscription. You grant us a limited licence to use, reproduce, and display your trademarks and uploaded content solely to operate the Services. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Services, templates, or content generated by our platform without our written consent.

7. Confidentiality

Each party will protect the other’s non-public information with at least reasonable care and use it only for purposes of performing these Terms, except where disclosure is required by law.

8. Third-Party Services

The Services integrate with third-party platforms (e.g., Google, Facebook, AWS, Stripe). Your use of those platforms is governed solely by their terms; we are not liable for third-party outages.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UPTIME, OR ERROR-FREE OPERATION.

Security Practices: We implement technical and organizational safeguards designed to protect your data, including encryption, access control, monitoring, and secure hosting environments. However, you understand that no Internet-based service can be 100% secure, and we disclaim all liability for unauthorized access, breaches, or incidents caused by third parties beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

We will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, even if advised of the possibility. This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

11. Indemnification

You will defend, indemnify, and hold harmless RealRapidReviews and its officers, directors, and employees from any third-party claim arising out of (i) your breach of these Terms; (ii) your violation of law (CAN-SPAM, TCPA, GDPR, etc.); or (iii) content or data you supply that infringes third-party rights.

12. Termination & Suspension

12.1 Cancellation – You may cancel any time; service continues until the end of the current billing period.

12.2 Suspension – We may suspend or terminate for material breach (including non-payment) after 5 days’ notice.

12.3 Data deletion – We may delete your data 30 days after termination unless legally required to retain it. You are responsible for exporting any data you wish to retain before termination becomes effective.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA. Any dispute shall be resolved by confidential, binding arbitration in Canton, Georgia under the AAA Commercial Arbitration Rules.

No class actions: You and we may arbitrate only on an individual basis. Either party may instead bring an individual action in the small-claims court of Cherokee County, GA.

14. Changes to Terms

We may update these Terms at any time. Material changes will be posted on the Site or emailed to you. Continued use after the effective date constitutes acceptance.

15. General

15.1 Assignment – You may not assign these Terms without our written consent; we may assign them to an affiliate or successor.

15.2 Force Majeure – Neither party is liable for delays beyond its reasonable control, including epidemics, pandemics, strikes, power or Internet outages, or third-party platform failures.

15.3 Severability – If any provision is unenforceable, the remainder remains in effect.

15.4 Entire Agreement – These Terms (and any Order Form) constitute the entire agreement and supersede all prior communications.

15.5 Survival – Sections 5 through 10, 12, and any accrued payment obligations survive termination or expiration of these Terms.

16. Mutual Non-Disparagement

During the term of this Agreement and for one (1) year thereafter, neither party will make public statements or posts (online or offline) that are intended to disparage the other, its business, products, or services.
